These terms and conditions for software licensing and its services (“Terms of Use”) is a legal agreement between Nerotix Technologies Private Limited, a company incorporated under the laws of India, having its registered office at T-30001, 3rd Floor, Vasundhara Tower, Behind SP Office, City Center, Gwalior, Madhya Pradesh – 474011 (hereinafter referred to as “Company”, “We”, “Our” or “Us”) and merchants, businesses or entities (“Client”, “You” or “Your”).
The Company offers a suite of messaging software-as-a-service solutions under the name and style of “Nerochat” (“Solution”).
These Terms of Use constitute an electronic record under the Information Technology Act, 2000 and do not require physical or digital signatures.
BY USING THE SOLUTION, YOU AGREE TO THESE TERMS OF USE. IF YOU DO NOT AGREE, DO NOT USE THE SOLUTION.
---“Applicable Law” means all laws, rules, regulations, guidelines, notifications and orders applicable in India.
“Applicable Data Protection Law” includes the Information Technology Act, 2000 and shall include the Digital Personal Data Protection Act, 2023 when enforced.
“Beta Products” means pre-released versions of the Solution.
“Business Day” means any day on which banks in India are open for business.
“Intellectual Property” includes all copyrights, trademarks, source code, software, APIs, designs and proprietary information.
“SaaS” means Software-as-a-Service.
---These Terms shall remain effective unless terminated in accordance with these Terms. Auto-renewal does not apply.
---The Company grants the Client a limited, non-exclusive, non-transferable, revocable license to access and use the Solution on a SaaS basis.
---The Client may be provided a trial period of three (3) months. The Company reserves the right to limit or withdraw features during the trial.
---The Client shall not:
Breach of this clause shall result in immediate termination.
IMPORTANT: Client must maintain access to the registered SIM card at all times.
---All fees are prepaid, non-transferable and non-refundable. Wallet balances expire after 365 days of inactivity.
---Client is responsible for obtaining all user consents. WhatsApp messaging data is processed via Meta Cloud API infrastructure.
---Each party agrees to protect confidential information and use it only for purposes of these Terms.
---The Company may suspend access for security, legal, payment or misuse reasons.
---Maximum liability shall not exceed the fees paid by the Client in the preceding twelve (12) months.
---These Terms shall be governed by the laws of India. Courts at Gwalior, Madhya Pradesh shall have exclusive jurisdiction.
---Neither party shall be liable for delays due to events beyond reasonable control.

Invalid provisions shall not affect remaining clauses. Waiver must be in writing.
